BidBuddy Terms of Service (EULA)

These Terms of Service ("Terms") form a binding agreement between you and Chequa ("we", "us") regarding your use of the BidBuddy iOS application ("App"). By installing or using the App you agree to these Terms. If you do not agree, do not use the App.

1. License

We grant you a personal, non-transferable, non-exclusive, revocable license to install and use the App on Apple devices you own or control, subject to the Apple Media Services Terms and these Terms.

You may not:

Reverse engineer, decompile, or disassemble the App, except where the law expressly permits it.
Resell, sublicense, rent, lease, or distribute the App.
Use the App to build a competing product or to scrape DeepSeek or any third-party service we integrate with.
Use the App to generate content that is illegal, deceptive, infringing, or intended to defraud another party.

2. Subscriptions ("BidBuddy Unlimited")

The App is free to download. Unlimited features (unlimited estimates and full AI access beyond the free quota of 2 estimates) are unlocked via auto-renewing subscriptions sold by Apple:

Monthly Unlimited — $3.99 per month, with a 3-day free trial for new subscribers.
Yearly Unlimited — $39.99 per year.

Prices may vary by region. The current localized price is always shown in the App before you confirm purchase.

2.1 Auto-renewal

Payment is charged to your Apple ID at confirmation of purchase.
Subscriptions auto-renew at the end of each period unless cancelled at least 24 hours before the period ends.
Your Apple ID is charged for renewal within 24 hours prior to the end of the current period at the standard subscription price.
You can manage and cancel your subscription in iOS Settings → Apple ID → Subscriptions. Deleting the App does not cancel the subscription.

2.2 Free trial

If you start a 3-day free trial:

You will not be charged during the trial.
The trial converts automatically into a paid Monthly Unlimited subscription at the end of the trial unless you cancel before the trial ends.
Unused free trial time is forfeited when you purchase a subscription.

2.3 Refunds

All purchases are processed by Apple. Refund requests must be made through Apple's standard process at https://reportaproblem.apple.com. We cannot issue refunds directly.

3. AI features

The App sends text you provide (including voice transcripts) to our backend proxy, which forwards it to DeepSeek for processing. AI-generated content:

Is generated by a third-party large language model and may be inaccurate, outdated, biased, or unsuitable for your specific use case.
Is provided as-is, without representation that it is fit for any professional, legal, accounting, or financial purpose.
Is your responsibility to review, edit, and verify before sending to clients or relying on for business decisions.

You retain ownership of the prompts you submit and the outputs you receive, subject to DeepSeek's own terms. You must not submit prompts containing personal data of other people without lawful basis.

4. Your content and data

Estimates, invoices, signatures, and company information you create are stored on your device. We do not back them up. If you lose the device or delete the App, that data is lost.
You are solely responsible for backing up data important to you (e.g. by exporting PDFs).
You represent that any client information you enter into the App is entered with the appropriate legal basis.

5. Acceptable use

You agree not to:

Use the App for any unlawful purpose or in violation of any export law.
Use the App to generate or send harassing, defamatory, or fraudulent communications.
Probe, attack, or attempt to bypass the App's free-tier limits, our backend proxy, rate limits, or Apple's StoreKit verification.

We may suspend your access to AI features if we detect abuse, automated use, or violations of these Terms.

6. Intellectual property

The App, including all design, code, and brand assets, is owned by Chequa and protected by applicable intellectual property laws. These Terms do not grant you any rights to our trademarks.

7. Third-party services

The App integrates with:

Apple StoreKit — for subscriptions and payments.
DeepSeek — for AI processing of estimate text.
Cloudflare — for hosting our API proxy.

Your use of those services through the App is subject to their respective terms.

8. Disclaimers

THE APP AND AI-GENERATED OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR FREE, OR THAT AI OUTPUT WILL BE ACCURATE.

NOTHING IN THE APP CONSTITUTES LEGAL, ACCOUNTING, TAX, OR FINANCIAL ADVICE. Estimates and invoices generated by the App are templates only. You are responsible for ensuring they comply with local laws and any contracts you are party to.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL CHEQUA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE APP.

OUR TOTAL CUMULATIVE LIABILITY ARISING FROM OR RELATED TO THE APP WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) US $50.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you in full.

10. Termination

You can terminate these Terms at any time by deleting the App. We may suspend or terminate your access if you violate these Terms. Sections 4 through 12 survive termination.

11. Changes

We may update these Terms. We will update the "Last updated" date and post the new Terms at this URL. If changes are material, we will surface them in the App on next launch. Continued use after a change means you accept it.

12. Governing law

These Terms are governed by the laws of the jurisdiction where Chequa is established, excluding its conflict-of-laws rules. Disputes will be resolved in the competent courts of that jurisdiction, unless mandatory consumer protection law in your country of residence gives you a different forum.

13. Apple-required terms

The following apply because the App is distributed via the Apple App Store:

These Terms are between you and Chequa only, not Apple. Apple is not responsible for the App or its content.
Apple has no obligation to provide maintenance or support for the App.
If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price; to the maximum extent permitted by law, Apple has no other warranty obligation.
Chequa, not Apple, is responsible for any product liability claims, claims that the App fails to conform to legal or regulatory requirements, or claims under consumer protection law.
Chequa, not Apple, is responsible for investigating, defending, settling, and discharging any third-party intellectual property infringement claim related to the App.
You represent that you are not located in a country subject to U.S. government embargo or designated as a "terrorist supporting" country, and that you are not on any U.S. government list of prohibited or restricted parties.
Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance Apple will have the right to enforce them against you.
